General Terms and Conditions for Passengers

1. Scope and Consent
These General Terms and Conditions apply between Vertt AG ("Vertt") and passengers who use the Vertt app to access ride-hailing services. By using the Vertt app for the first time and with each further use, the passenger gives their legally binding consent to these General Terms and Conditions.
2. Registration
Before using ride-hailing services, the passenger must register on the Vertt app with complete and truthful personal information. Identification is performed using the phone number provided by the passenger.
If the information is incorrect, incomplete, or outdated, or if the stored credit or debit card is invalid or expired, Vertt may deny the passenger access to the services. If the phone number changes, re-identification is required using the new number.
The passenger is responsible for all activity on their Vertt account and agrees to keep the username and password secure and not to share access with third parties.
Upon successful registration, the passenger receives confirmation and the Vertt account is activated. Only then can services be used—provided the passenger meets all conditions and obligations set forth in these Terms.
3. Services Provided by Vertt
Vertt operates a technology-based platform that facilitates ride-hailing services. Passengers can place ride requests via the Vertt app, which are displayed to potential drivers for acceptance.
Vertt itself does not offer transportation services. All rides are provided by independent third parties who are not employees of Vertt. By accepting the ride request, a transportation contract is established directly between the passenger and the driver.
The Vertt app can be downloaded from the App Store or Google Play and used on internet-enabled devices. Vertt grants the passenger a non-exclusive, non-transferable, non-sublicensable license to use the app, which may be revoked at any time without compensation.
All rights to the app remain with Vertt. The passenger is not permitted to copy, modify, reverse-engineer, decompile, or distribute the software.
4. Availability and Updates
There is no entitlement to continuous or uninterrupted availability of the Vertt app. Vertt aims for the highest possible availability but reserves the right to suspend the service temporarily or permanently, in whole or in part, without individual notice.
Vertt may release updates at any time that include bug fixes, feature enhancements, or changes. These updates are considered part of the app and are also subject to these Terms.
5. Passenger Obligations
The passenger agrees to use the Vertt app only in a lawful manner. It is particularly prohibited to transport dangerous, illegal, or banned goods.
Passengers must not harass, endanger, harm, or otherwise inconvenience drivers or third parties.
The passenger is liable for all property damage caused and for cleaning or repair costs. If such a case is reported to Vertt and confirmed at Vertt's sole discretion, Vertt reserves the right to charge the costs to the stored payment method and pass them on to the driver.
6. Payment and Billing
The estimated fare (including VAT) is displayed before the ride begins. It is based on a base fare, a time-based fare, and a distance-based fare, which may vary depending on the vehicle category. During high demand, a surcharge may apply, which is shown to the passenger before placing the order.
Payment is made automatically using the stored payment method. Accepted methods are:

If the primary method cannot be charged, an alternative stored method will be used. The passenger receives a receipt by email and in the app.
Tips can be given via the app or in cash.
7. Cancellation
The passenger can cancel a confirmed ride free of charge within five minutes. For later cancellations or no-shows, a cancellation fee applies and is charged automatically. The current amount is available at vertt.ch/ride-with-vertt.
8. Voucher Codes
Vertt may issue voucher codes. These may only be used under the applicable terms and are non-transferable and non-redeemable. Misuse may lead to repayment.
9. Ratings
Passengers and drivers may rate each other anonymously after rides. Inappropriate or offensive ratings may be deleted by Vertt. There is no entitlement to deletion or modification.
10. Feedback
Feedback submitted to Vertt may be used for improvements or marketing purposes under mention of the first name.
11. Third-Party Content and Services
The app may include content and links from third parties. Vertt is not liable for the accuracy, legality, or functionality of such content or services.
12. Data Protection
The processing of personal data follows Vertt’s Privacy Policy, available at vertt.ch/privacy-policy.
13. Liability
Vertt is not liable for technical interruptions, damages from software usage, or for the quality of ride services. The passenger uses the app at their own risk. Liability for direct or indirect damages is excluded to the extent permitted by law.
14. Termination of Contract
The contract ends automatically if the passenger no longer meets the requirements of these Terms.
Vertt may terminate the contract at any time without giving reasons. The passenger can cancel by deleting the app. Misconduct may lead to immediate exclusion.
15. Severability Clause
If any provision of these Terms is invalid, the validity of the remaining provisions shall remain unaffected. A valid regulation corresponding to the economic purpose shall apply instead.
16. Changes to These Terms
Vertt may amend these Terms at any time. Amendments may also apply to existing contracts.
17. Jurisdiction and Applicable Law
Place of performance and exclusive place of jurisdiction is Vertt's registered office in Zurich. Swiss law applies exclusively, excluding international private law.

General Terms and Conditions for Drivers

These General Terms and Conditions apply between Vertt AG ("Vertt") and the provider of ride-hailing services ("Driver") regarding the use of the Vertt App for the purpose of brokering ride-hailing services. By using the Vertt App for the first time and with each subsequent use, the Driver agrees to be legally bound by these General Terms and Conditions. Any terms and conditions of the Driver become part of the contract only if Vertt has expressly agreed to them in writing.
1. Registration
Before using the Vertt App, the Driver must register with complete and truthful personal information and upload the required documents. The Driver is responsible for keeping this information up to date.
Identification is carried out via the phone number provided by the Driver. In the event of a change of phone number, the Driver must promptly notify Vertt for re-identification.
After successful registration, the Driver receives a confirmation email from Vertt, and the Vertt App account is activated. Only then (and only as long as the Driver meets all conditions and obligations under these Terms and the applicable laws) is the Driver authorized to use the Vertt App and services.
2. Services Provided by Vertt
Vertt acts solely as a technology platform operator that brokers ride-hailing services. Vertt connects the Driver with potential passengers who order a ride through the Vertt App. Such an order constitutes an offer to enter into a transportation contract. The Driver sees the necessary passenger information (e.g., name, pick-up location). After accepting the request, the Driver can contact the passenger via anonymized SMS or call through the app. The Driver may accept or ignore requests at their discretion. By accepting the request, a transportation contract is concluded directly between the Driver and the passenger.
The ride destination is shown only when the passenger gets into the vehicle. After the ride ends, the Vertt App displays the fare to the Driver.
The Vertt Driver App can be downloaded from the App Store or Google Play and used on internet-enabled mobile devices (smartphones, tablets, etc.).
Vertt grants the Driver a non-exclusive, non-sublicensable, non-transferable license to use the Vertt App and website under these General Terms. This license may be revoked by Vertt at any time without compensation.
All ownership, copyright, and other intellectual property rights to the Vertt App/software remain with Vertt. The Driver is not allowed to copy, modify, reverse-engineer, decompile, or distribute the software.
The Driver has no right to continuous and uninterrupted access to the Vertt App. Vertt strives for high availability and fast resolution of issues but may suspend the service temporarily without notice.
To use the Vertt App, the Driver must log in with the registered username and password. The Driver must keep these credentials secure and not share them with third parties. Unauthorized use must be reported to Vertt immediately.
Vertt may from time to time make improvements to the App, including patches, updates, upgrades, and other changes ("Updates"). Updates may change or remove certain functions. You agree that Vertt is not obligated to (i) provide updates or (ii) continue making certain functions available. Updates are part of the App and subject to these Terms.
Vertt is not responsible for internet access or the configuration and performance of the Driver’s device. These are solely the Driver’s responsibility and at their own cost.
3. Payment and Billing
The fare payable by the passenger (incl. VAT) is determined before the ride. The Driver cannot see the price until the ride is completed. It is calculated based on a base fare, a per-minute rate, and a per-kilometer rate, depending on the vehicle category (Vertt, Premium, Lux, Green, etc.). Prices are calculated using real-time traffic data and may adjust automatically after the ride in case of delays. A demand-based surcharge may apply in specific geographic areas. A minimum fare per ride applies, depending on vehicle category. The current pricing list is available at www.vertt.ch/ride-with-vertt.
The passenger pays via the stored credit or debit card. Vertt guarantees payment and assumes the collection risk for card payments.
Drivers can activate a cash payment option in the Vertt App. In this case, the Driver bears the collection risk and is responsible for collecting and safeguarding the fare. The Driver must also have sufficient change available. The Driver owes Vertt the brokerage fee under Section 17.
The passenger may tip the Driver via the app or in cash. No commission is charged on tips.
The brokerage fee payable by the Driver to Vertt is maximum 18% of the fare plus 8,1% VAT.
Vertt may change the brokerage fee at any time.
The Driver can view their ongoing earnings and commissions in the Vertt App. After deducting the fee, earnings are transferred weekly to the bank account provided at registration. Commission for cash rides is offset weekly against the Driver's balance. If offsetting is not possible, Vertt will require the Driver to pay the fee via bank transfer, credit card, deposit slip, or e-wallet. Vertt may suspend accounts overdue by more than seven days.
Passengers may cancel a ride free of charge within five minutes after booking confirmation. Later cancellations or no-shows incur a cancellation fee. The current cancellation fee is available at www.vertt.ch/ride-with-vertt. The fee is charged to the passenger’s card and credited to the Driver (less the brokerage fee).
Vertt is not the Driver’s employer and does not guarantee any minimum hours or earnings. The Driver is solely responsible for taxes and social security contributions and indemnifies Vertt in this regard.
Vertt may issue discount codes or benefits, which are fully covered by Vertt. The Driver always receives 100% of the fare agreed with the passenger.
4. Driver Requirements and Obligations
Vertt expects Drivers to be reliable and present themselves professionally. They must ensure a safe and excellent experience for passengers.
The Driver must hold a valid Swiss driver’s license including BPT Code 121 for professional passenger transport. Valid local knowledge certifications (e.g., Zurich city/airport) are an advantage.
Drivers must comply with applicable transport regulations, including local taxi laws and traffic regulations. They must only accept bookings in permitted areas and are responsible for following laws on driving time, rest periods, etc. All fines and penalties are the Driver’s responsibility.
For airport transfers, the Driver must have the appropriate airport parking permit. Airport-related costs (e.g., parking) are borne by the Driver.
Upon accepting a booking, the Driver agrees to pick up the passenger on time at the specified location and transport them promptly using the route suggested by Vertt App (Google Maps).
If unable to fulfill a booking, the Driver must cancel it immediately in the app.
Upon acceptance, the Driver agrees to share their first and last name, photo, and vehicle license plate with the passenger.
5. Vehicle Requirements
The Driver must use a vehicle with all required installations for commercial passenger transport, including a trip recorder.
The vehicle must be fully insured, including comprehensive coverage, and approved for commercial use.
The Driver must assign their vehicle to one or more categories (Vertt, Premium, Lux, Green, etc.). Requirements are available at www.vertt.ch/vertt-driver.
The vehicle must be regularly maintained and promptly repaired. It must always be roadworthy, clean, smoke-free, and equipped with a child seat for children over three.
All vehicle-related costs (fuel, insurance, maintenance, repairs, cleaning, taxes, fees) are the Driver’s responsibility.
6. Ratings
To ensure high service quality, passengers and drivers may rate each other anonymously. Ratings are displayed in anonymized form.
Ratings must be submitted truthfully. Vertt may delete inappropriate, malicious, or false reviews.
There is no entitlement to correction or deletion of ratings.
7. Feedback
Any feedback, comments, or reviews submitted to Vertt by Drivers may be used by Vertt without restriction, including publication and advertising, with name attribution.
8. Third-Party Services
The app may contain third-party content (data, apps, products, services) or links. Use is at the Driver’s own risk. Vertt accepts no liability for the accuracy, authenticity, or completeness of such content.
9. Privacy Policy
Vertt collects, stores, maintains, and shares information in accordance with the Privacy Policy available at www.vertt.ch/privacy-policy. By accepting these Terms, you consent to the Privacy Policy.
10. Liability
Vertt is not liable for proper functioning of the app or for losses/damages resulting from use. In particular, Vertt does not guarantee (i) uninterrupted or error-free access, (ii) accuracy of content, or (iii) virus-free systems or communications.
The Driver is liable for all damages and claims arising from accidents and shall fully indemnify Vertt from any claims by passengers or third parties.
If passengers or third parties claim that a ride was canceled or not fulfilled as booked, the Driver must fully indemnify Vertt.
Violations of law or these Terms require the Driver to indemnify Vertt and compensate for any resulting damages.
The Driver must inform Vertt immediately if any claims or threats of claims are made against them or Vertt.
The Driver agrees to assume all risk associated with using the app to the fullest extent permitted by law. Vertt disclaims liability to the maximum extent allowed.
11. Term and Termination
The contract ends automatically if the Driver no longer meets the conditions of these Terms.
Vertt may terminate the relationship with the Driver at any time without cause.
The Driver may also terminate the relationship at any time by notifying Vertt through the app.
Vertt does not tolerate inappropriate Driver behavior. Complaints may lead to warnings or immediate removal from the app.
12. Severability Clause
If any provision of these Terms is invalid, the rest remains unaffected. A valid clause closest to the original economic purpose shall apply instead. This applies to any gaps in these Terms or agreements.
13. Changes to These Terms
Vertt may amend these Terms at any time and may apply changes to existing legal relationships.
14. Place of Performance, Jurisdiction, Applicable Law
Place of performance and exclusive jurisdiction is Vertt’s registered office. Swiss law applies exclusively, excluding international private law.
